1. The grant

Sheetsa is provided by Sheetsa LLC, a New York limited liability company ("Sheetsa", "we", "us"), reachable at support@sheetsa.com. These terms cover the apps at this address (the "apps"): Sheetsa Split, Sheetsa Specs, Sheetsa Convert, Sheetsa Triage, Sheetsa Archive's scan tools (restoring faded scans, text recognition and the PDF/A check), the Sheetsa Library, and the package links the Library sends. The apps may be used for any lawful purpose, personal or commercial, as often as you like, on the terms below.

Specs is free of charge and needs no account. Everything it does happens in your browser: the spec book you open is processed on your device and is not sent to us.

Split, Triage and Archive's scan tools need you to sign in with a free account, and by signing in you accept these terms. When your organization has no plan, they run in your browser and the files you open are not sent to us (section 3 says what is). When your organization has a plan, a set or folder you drop into them is saved to its Library and filed under its site and building (section 3). Convert, and restoring and re-reading scanned sets, are part of the paid plans.

The Library is where an organization's sets are kept. It needs an account and a plan. The paid plans are Sheetsa Archive Starter and Sheetsa Archive; Sheetsa Archive Pro is not yet offered. We may change what a plan includes, and we will tell you before a change that takes something away from a plan you are paying for.

Package links. A Library member can send sheets, spec sections and files to anyone by a link that expires. Opening one needs no account; opening and using a package is use of the apps under these terms.

Plans, billing, cancelling and refunds. Sheetsa Archive is $149 a month, or $1,490 a year, for up to 15,000 sheets kept. Sheetsa Archive Starter is $39 a month, or $390 a year, for up to 200 sheets kept, for born-digital sets, with fewer of Archive's features. Both include unlimited seats. An organization that joined during early access is charged $99 a month for Archive for its first year instead. Prices are per organization, are shown at checkout before you pay, and are charged by card through Stripe; an organization's owner or admin starts a plan, and nothing is charged until they complete checkout. A plan renews each month or year until it is cancelled. To cancel, write to support@sheetsa.com from the owner's address; the plan then ends at the end of the period already paid for, and you keep access until then. We do not refund a period already started, except where the law requires it or where we made a mistake in charging you; write to us and we will put a charge that was wrong right. If a plan ends, your organization's files are kept as section 3 describes. Uploads past a plan's sheet limit are paused until the organization removes sheets or moves to a larger plan; we never charge more than the plan the owner chose.

1a. Your account

An account is for one person. Keep the sign-in links we email you to yourself, and tell us at support@sheetsa.com if you think someone else has used your account. We may close an account that is used to break these terms or the law, or that has not been used for a long time during early access.

2. What stays ours

The apps and their source are proprietary; all rights are reserved. Except for the use granted in section 1, you may not copy, redistribute, sell, rent, sublicense, host, modify, or create derivative works of the apps or their source, and you may not reverse engineer, decompile, or disassemble them or otherwise try to recover their source, beyond what a browser unavoidably does to load a page. This grant covers use of the apps at this address and does not license the source in any other form.

3. Your files and your work

Your files remain yours; nothing here gives us any rights in them beyond what is needed to provide the apps to you.

In Specs, and in Split, Convert, Triage and Archive's scan tools when nothing is saved to the Library, your files stay on your device. To let you resume a job after closing the tab, Split and Archive's scan tools keep your current project in your browser's own storage on your device; clearing this site's data in your browser removes it. We do not receive your files. We receive a short usage report for each run, and, while the "share my corrections" box is ticked (it starts ticked), each value you correct together with the titleblock image of that sheet, as the privacy policy describes.

In the Library, the sets, spec books and other files your organization adds, the sheets made from them, what the apps read from them, the corrections your team makes, and the log of who did what are stored for your organization by Sheetsa and its hosting providers, as the privacy policy describes, so that your organization can find and use them across sessions. They are visible to the members of your organization, and beyond them only to the people you send a package link to, an AI your organization connects with a key (records only, never files), and, if your organization keeps its files in its own SharePoint, whoever its SharePoint permissions allow; except that we may access them when needed to run the service, to fix a problem you report, or where the law requires. We do not use your files to train anything or for any purpose other than providing the Library to you. An owner or admin can delete a set, spec book or file in the Library, and you can ask us to delete everything your organization has stored, at any time, by writing to support@sheetsa.com. During early access the Library's features may change; if it ever had to be reset, we would give notice first, as the privacy policy says.

4. Automatic reading is fallible

Sheet numbers, titles, dates, revisions, the site and building a set is filed under, and everything else the apps read from a drawing or a spec book are read automatically and can be wrong, incomplete, or missing — a titleblock the apps have never seen, a scanned page, or a drawing plotted without a text layer can all defeat them. The apps show what they read and let you correct it; checking the output before you rely on it, file it, or send it to anyone is your responsibility.

5. No warranty

The apps are provided "as is" and "as available", without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability.

6. Limitation of liability

To the fullest extent permitted by law, Sheetsa LLC is not liable for any loss or damage arising from your use of, or inability to use, the apps — including lost data, lost work product, lost time, or any indirect, incidental, special, or consequential loss — even if advised of the possibility. Where liability cannot be excluded, it is limited to the amount you paid us to use the apps in the twelve months before the claim.

7. Third-party components

The apps bundle open-source components — pdf.js, pdf-lib, tesseract.js and its language data, among others — that stay under their own licenses. Those licenses are unchanged by these terms and are reproduced beside each bundle in the software's vendor notices.

8. Changes and availability

The apps may change, break, or be withdrawn at any time without notice, and these terms may be updated; the date at the top is the version in force. Continuing to use the apps, or signing in, after a change means you accept the updated terms. The Library may at times be unavailable, and what the plans include may change (section 3 says what happens to stored data).

These terms cover the apps at this address only. Custom work for an agency or other organization is governed by its own written agreement. The source code is not open source and is not licensed for use, copying, modification, or redistribution without written permission from Sheetsa LLC.
